IBB Solicitors’ charities team completes two major mergers in a month

IBB Solicitors’ charities team has completed two complex mergers in the space of a month, demonstrating its capabilities in providing charity law advice.

The team began April by completing the merger of the Princess Royal Trust for Carers and Crossroads Association, which on 1 April became a new charity, Carers Trust (represented by IBB).

The month closed with the completion on 30 April of the merger of care homes Nightingale House and Hammerson House, with IBB acting for the Hammerson entities. The merged entity is known as 'Nightingale Hammerson'.

Carers Trust

Carers Trust is a new dual-registered charity that will focus on delivering better outcomes for the country’s four million unpaid carers.

Nightingale Hammerson

The new, combined organisation will house approaching 300 residents and employ 400 staff. The transaction involved complex structuring to achieve the merger of Nightingale (a charitable trust governed by a scheme of the Charity Commission), and the Hammerson Home Charitable Trust (a registered provider, an industrial and provident society and a company limited by guarantee). The merger involved interaction with a number of regulators including the Charity Commission, the Financial Services Authority, the Care Quality Commission and the Tenant Services Authority. A cross-disciplinary team at IBB provided support on charity, trust, operational and property issues. The IBB team included Jo Coleman, Vicky Stokes, Tim Rutherford, Jonathan Bruck, Stephanie Price and Kajal Shah.

Nightingale Hammerson

Founded 170 years ago to provide care for elderly members of the Jewish community, Nightingale House in Clapham is the largest care home for the elderly on a single site in the UK. Hammerson House in Hampstead was founded in 1961 for older people in need of care and a home-from-home environment. Mrs Sue Hammerson, CBE, donated the site in memory of her late husband.

Carers Trust

The Crossroads Care schemes provide a range of services to the carer and person cared for through fully trained carer support workers who take over caring responsibilities, allowing carers to access vital breaks. The Princess Royal Trust for Carers operates local carers’ centres to provide information and emotional support, helping carers to access the services they need and working with them to get their voices heard in planning services locally and beyond.
