IBB Solicitors Advises on a Disposal of Bridge Fire and Security Limited

Harriet Jones, a Partner in IBB’s Commercial and Corporate team, recently advised HSL (Holdings) Limited on the disposal of its 95% majority shareholding in Bridge Fire and Security Limited to Thomas Wood Holdings Limited.

HSL is the parent company of the Haes Systems – one of the UK’s leading manufacturers and suppliers of fire detection alarm products. Bridge Fire and Security Limited was set up in 2012 to provide design, installation and maintenance services for fire alarm systems and extinguishers and has been run within the Haes group under the guidance of Brian Wood, a director of Thomas Wood Holdings Limited.

The IBB Team advising HSL was led by Harriet Jones, Corporate and Commercial Senior Solicitor, and included Carina Turetta, Real Estate Solicitor.

Thomas Wood Holdings Limited was advised by Curzon Green Solicitors.

Commenting on the deal, Harriet, said:

“We are delighted to be able to assist the Haes group in connection with this disposal. This deal was another example of IBB’s ability to deliver the commercial approach that the parties wanted in light of the knowledge and understanding that the director of the buyer had about the company being sold.”

Jeff Ivey, director of the Haes group, commented:

“We are sure that Bridge will continue to grow and expand and we wish Brian and the team every success. Haes will continue to specialise in providing customers with the renowned range of UK-made Haes control and indicating equipment (as well as other leading international fire detection brands) – with over 40 years of experience in the sector and over 97% of our customers being delighted with our service levels, we are developing new and innovative products and power suppliers and we are excited about the opportunities ahead.”
